1. Scope of Application

1.1 These Terms and Conditions apply to all contracts concluded between JalEidos, operating under the business name “popz” (hereinafter referred to as the “Seller”), and consumers or business customers (hereinafter referred to as the “Customer”) via the Seller’s online shop for the goods and/or services offered therein.
1.2 Any terms and conditions of the Customer that deviate from or supplement these Terms shall not apply unless expressly agreed to in writing by the Seller.
1.3 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession.
A business customer is any natural or legal person or legally capable partnership acting in the exercise of its commercial or professional activity.

2. Conclusion of Contract

2.1 The product descriptions displayed in the Seller’s online shop do not constitute binding offers but invite the Customer to submit a binding purchase offer.
2.2 By submitting an order via the online order form and clicking the button concluding the order process, the Customer submits a legally binding offer to purchase the products contained in the shopping cart.
2.3 The Seller may accept the Customer’s offer within five (5) days by:
  • sending an order confirmation by email or in text form,
  • delivering the ordered goods, or
  • requesting payment from the Customer.
The contract is concluded at the moment the first of these actions occurs. If the Seller does not accept the offer within the stated period, the offer shall be deemed rejected.
2.4 If the Customer selects PayPal Express as the payment method, the payment order is submitted at the same time as the order is placed. In this case, the Seller declares acceptance of the offer at the time the payment transaction is initiated.
2.5 The acceptance period begins on the day following submission of the offer and ends at the end of the fifth day thereafter.
2.6 The contract text is stored by the Seller and sent to the Customer together with these Terms and Conditions by email after the order is placed. The contract text is no longer accessible via the website after completion of the order.
2.7 Before submitting the order, the Customer may review and correct their entries using standard keyboard and mouse functions.
2.8 The contract language is German.
2.9 Order processing and communication take place primarily by email. The Customer must ensure that the email address provided is correct and able to receive emails from the Seller, including ensuring spam filters do not block such messages.

3. Voluntary Right of Withdrawal / Returns

Under Swiss law, there is no statutory right of withdrawal for online purchases. Any return option offered by the Seller is a voluntary service.
Details regarding returns, conditions, exclusions (including hygiene-related exclusions for food supplements), procedures, and refund timelines are governed by the Seller’s Return Policy, which forms an integral part of these Terms and Conditions.

4. Prices and Payment Terms

4.1 All prices stated in the online shop include statutory value-added tax (VAT) and other price components. Any additional delivery or shipping costs are indicated separately in the respective product description.
4.2 The payment methods available are displayed in the online shop.
4.3 If advance payment is agreed, payment is due immediately upon conclusion of the contract.
4.4 If payment is made via PayPal, payment processing is handled by PayPal (Europe) S.à r.l. et Cie, S.C.A., Luxembourg, in accordance with PayPal’s terms and conditions.
4.5 In cooperation with ...........................................payment options such as invoice and instant bank transfer may be offered. Payment is made directly to ................... . .................terms and conditions apply.

5. Delivery and Shipping Conditions

5.1 Goods are delivered by shipment to the delivery address specified by the Customer during the order process. If PayPal is used, the delivery address stored with PayPal at the time of payment shall apply.
5.2 If delivery fails due to reasons attributable to the Customer, the Customer shall bear the costs of the unsuccessful delivery.
5.3 Unless otherwise agreed, the risk of accidental loss or deterioration of the goods passes to the Customer upon dispatch of the goods or handover to the transport service provider.
5.4 Self-collection of goods is not possible for logistical reasons.

6. Liability for Defects

The statutory provisions on liability for defects under Swiss law apply.

7. Applicable Law and Jurisdiction

7.1 For consumers, all legal relationships between the parties shall be governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction shall be the consumer’s place of residence.
7.2 For business customers, Swiss law shall apply exclusively, excluding the CISG. The exclusive place of jurisdiction shall be the Seller’s place of business or residence.
